Welcome to Morphixlabs. These Terms of Service ("Terms") govern your access to and use of our website at morphixlabs.com and our development subscription services ("Services"). By accessing or using our Services, you agree to be bound by these Terms.

Please read these Terms carefully before using our Services. If you do not agree to these Terms, you may not access or use our Services.

1. Definitions

• "Morphixlabs," "we," "our," or "us" refers to Morphixlabs, the provider of the Services.
• "You" or "Client" refers to the individual or entity accessing or using our Services.
• "Services" refers to our development subscription offerings, including web development, mobile app development, AI integrations, automation workflows, and related services.
• "Deliverables" refers to any code, designs, documentation, or other work product created as part of our Services.
• "Request" refers to a development task or project submitted by you through our platform.

Morphixlabs provides development subscription services that include:

• Web application development
• Mobile application development
• AI and machine learning integrations
• Automation workflow development
• API development and integrations
• Full-stack development services

Subscription Plans

We offer subscription plans with different features and pricing. Current plans include:

• Standard: Unlimited requests with one active task at a time, 48-hour average delivery
• Pro: Unlimited requests with two active tasks simultaneously, priority support

Delivery Timeline

We aim to deliver most requests within 48 hours. However, complex projects may require additional time. We will communicate expected timelines for each request. Delivery times are estimates and not guaranteed.

Our Services do not include:

• Third-party software licenses or subscriptions (e.g., hosting, APIs, services)
• Stock photos, fonts, or other licensed assets (unless explicitly included)
• Physical meetings or on-site work
• Content writing or copywriting (unless specified)
• SEO services (unless specified)
• Ongoing maintenance after subscription ends
• Projects that violate our Acceptable Use Policy

Billing

Subscription fees are billed monthly in advance. Payment is processed through Stripe, our secure payment processor. By subscribing, you authorize us to charge your payment method on a recurring basis.

Refund Policy

Due to the nature of our services, we do not offer refunds for partial months. If you are unsatisfied with our Services within the first 14 days of your initial subscription, contact us to discuss your concerns. We may offer a refund at our discretion on a case-by-case basis.

Pause and Cancellation

You may pause or cancel your subscription at any time through your account dashboard or by contacting us. Pausing preserves your unused days. Cancellation takes effect at the end of your current billing period. You will retain access to the Services until then.

Ownership of Deliverables

Upon full payment of applicable fees, you own all rights, title, and interest in the Deliverables we create specifically for you. This includes source code, designs, and documentation.

Pre-Existing Materials

We may use pre-existing code libraries, frameworks, tools, and components ("Pre-Existing Materials") in creating Deliverables. We retain ownership of these Pre-Existing Materials, and grant you a non-exclusive, perpetual license to use them as part of your Deliverables.

Third-Party Materials

Deliverables may incorporate open-source software or third-party components subject to their own licenses. You are responsible for complying with such licenses.

Portfolio Rights

Unless otherwise agreed in writing, we may display and reference the Deliverables in our portfolio, marketing materials, and case studies, subject to any confidentiality agreements.

6. Client Responsibilities

To enable us to provide the Services effectively, you agree to:

• Provide clear and complete information about your requests
• Respond to our questions and requests for feedback in a timely manner
• Provide necessary access to systems, accounts, and assets as needed
• Review and approve Deliverables within a reasonable timeframe
• Ensure you have the right to use any materials you provide to us
• Maintain appropriate backups of your systems and data

You may not use our Services for projects that:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Promote hate speech, violence, or discrimination
• Facilitate fraud, scams, or deceptive practices
• Distribute malware, viruses, or malicious code
• Involve adult content or gambling (unless legally licensed)
• Violate privacy rights or data protection laws

We reserve the right to refuse or terminate any project that violates this policy.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of our engagement. This includes business strategies, technical specifications, and non-public information.

Confidential information does not include information that is publicly available, independently developed, or rightfully received from third parties.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MORPHIXLABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

11. Indemnification

You agree to indemnify, defend, and hold harmless Morphixlabs and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

Either party may terminate the subscription by providing notice before the next billing period. We may also terminate or suspend your access to our Services immediately, without prior notice, if:

• You breach these Terms
• You fail to pay applicable fees
• You engage in fraudulent or illegal activity
• Continuing the relationship would violate applicable law

Upon termination, you will receive all completed Deliverables up to the termination date.

13. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation, it shall be settled by binding arbitration in accordance with the rules of a mutually agreed-upon arbitration provider. The arbitration shall take place virtually or in a mutually agreed location.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Morphixlabs operates, without regard to its conflict of law provisions.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on our website and updating the "Last updated" date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Morphixlabs regarding the Services and supersede all prior agreements and understandings.
